2. Interpretation
In these Terms, the following definitions apply unless the context requires otherwise:
- "Business Day" means a day other than a Saturday, Sunday or public holiday in the United Kingdom.
- "Client", "You", or "Your" refers to the individual, company, or entity purchasing Services from PulseCulture.
- "Content" refers to all text, graphics, images, data, trends analysis, reports, and other material published on the Website or delivered as part of the Services.
- "Services" refers to the trend analysis, social audits, strategy sessions, and any other consulting services provided by PulseCulture.
3. Accessing the Website
We grant you a limited, non-exclusive, non-transferable license to access and use the Website for your personal or internal business purposes. You agree not to:
- Use the Website for any illegal purpose or in violation of any local, national, or international law.
- Attempt to gain unauthorized access to the Website, our servers, or any data stored therein.

4. Services and Payment
4.1 Service Agreements
Specific details regarding the Services, including scope, deliverables, and fees, will be outlined in a separate Service Agreement or Statement of Work ("SOW") agreed upon by both parties. These Terms apply generally to all services provided.
4.2 Fees and Payment Terms
Unless otherwise stated in an SOW, payments for Services are due within 30 days of the invoice date. We reserve the right to charge interest on overdue payments at the rate of 4% per annum above the base rate of the Bank of England from the due date until the date of actual payment.
4.3 Cancellation
Subscription-based services may be cancelled with 30 days' written notice. For bespoke consulting projects, cancellation fees may apply if the cancellation occurs less than 7 days before the scheduled project start date.
5. Intellectual Property Rights
5.1 Website Content
The Website and its original content, features, and functionality are and will remain the exclusive property of PulseCulture and its licensors. The Content is protected by copyright, trademark, and other laws of both the United Kingdom and foreign jurisdictions.
5.2 Client Deliverables
Upon full payment for bespoke Services, PulseCulture assigns to the Client the intellectual property rights in the specific final deliverables (reports, strategies) created for that Client. PulseCulture retains a royalty-free, non-exclusive license to use anonymized data and insights derived from the work for internal training and portfolio purposes, provided no confidential Client data is disclosed.
5.3 Feedback
Any feedback you provide to us regarding our Services or Website shall be our sole property and we may use such feedback without restriction or obligation to compensate you.
6. User Accounts and Security
If you create an account to access our client portal, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer. You agree to accept responsibility for all activities that occur under your account or password. You must notify us immediately of any unauthorized use of your account or any other breach of security.
7. Privacy and Data Protection
Your use of our Website and Services is also subject to our Privacy Policy. By using this Website, you consent to the processing of data about you in the manner and for the purposes set out in our Privacy Policy. - Any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
- Any damage or loss resulting from decisions made by you based on the information provided in our trend reports or strategy sessions. Our insights are for informational purposes only and do not constitute guaranteed business outcomes.
Our total liability to you for all claims arising from the use of the Services shall not exceed the total amount paid by you to PulseCulture under the specific Service Agreement in the twelve (12) months preceding the claim.
9. Indemnification
You agree to defend, indemnify, and hold harmless PulseCulture and our licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these terms; or c) Content posted on the Service.
10. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation.
11. Governing Law
These Terms shall be governed and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
